The essential conditions for a foreign enterprise to apply for the establishment of a resident representative office in Shanghai are as follows:

一、該外國(guó)企業(yè)必須在所在國(guó)合法注冊(cè)；

二、該外國(guó)企業(yè)必須具有良好的商業(yè)信譽(yù)；

三、該外國(guó)企業(yè)必須提供真實(shí)可靠的本實(shí)施細(xì)則規(guī)定的各類(lèi)材料；

(1) The foreign enterprise has to be legally registered in its country;

(2) The foreign enterprise must be of good commercial reputation;

(3) The foreign enterprise must provide the authentic and reliable materials and documents according by this notification.

二、在上海設(shè)立常駐代表機(jī)構(gòu)所需時(shí)間和要求：

The time and requirements for a foreign enterprise applying for the establishment of a resident representative office in Shanghai are as follows:

一、外國(guó)企業(yè)申請(qǐng)?jiān)谥腥A人民共和國(guó)境內(nèi)設(shè)立常駐代表機(jī)構(gòu)，須先向上海市工商局提出網(wǎng)上申請(qǐng)，工商局對(duì)其申請(qǐng)進(jìn)行審查，在5個(gè)工作日內(nèi)做出批準(zhǔn)或不予批準(zhǔn)的決定，并在網(wǎng)上公布結(jié)果。得到批準(zhǔn)的企業(yè)，再向工商局提出書(shū)面申請(qǐng)，工商局于10個(gè)工作日后頒發(fā)代表機(jī)構(gòu)登記證。其他政府機(jī)構(gòu)辦理各種證照約需要25個(gè)工作日。

When an enterprise wants to establish a representative office in Shanghai, it should apply to Shanghai Administration of Industry and Commerce on its website for prejudication first. It will approve or overrule the application in 5 working days. The approved enterprise should apply to the Administration formally. 10 working days later, the Administration will give Business Registry to the company. And processing other registries by other administrations will spend about 25 working days.

二、外國(guó)企業(yè)申請(qǐng)?jiān)O(shè)立常駐代表機(jī)構(gòu)必須委托一家經(jīng)中華人民共和國(guó)政府主管部門(mén)批準(zhǔn)的、具有相關(guān)資質(zhì)的公司作為承辦單位，由承辦單位代外國(guó)企業(yè)向?qū)徟鷻C(jī)關(guān)報(bào)送各類(lèi)材料，辦理申報(bào)手續(xù)。

If a foreign enterprise wants to apply for a representative office in China, it has to entrust an agency which is approved by the competent authorities of government for submitting all documents to government.

三、在上海設(shè)立常駐代表機(jī)構(gòu)所需材料

The documents for establishing a representative office in Shanghai:

(一) 申請(qǐng)書(shū) (由公司董事長(zhǎng)或總經(jīng)理簽名)

Application Letter (signed by chairman of the foreign enterprise)

申請(qǐng)書(shū)內(nèi)容如下:

Content as follow:

1)常駐代表機(jī)構(gòu)的名稱(chēng)/ the name of representative office;
2)首席代表機(jī)構(gòu)人員名單（首席代表、代表）/ list of chief representative and representatives;

3)企業(yè)簡(jiǎn)況,設(shè)立常駐代表機(jī)構(gòu)的目的.業(yè)務(wù)范圍/ brief introduction of the foreign enterprise, purpose of establishing this representative office, business scope of this representative office,
4)辦公地址/ office address
5)駐在期限/ residence period

(二) 代表任命書(shū) (由公司董事長(zhǎng)或執(zhí)行董事簽名)

Application of chief representative and representatives (signed by chairman of the foreign enterprise);
如董事長(zhǎng)任首席代表或代表，其授權(quán)書(shū)必須由該企業(yè)董事會(huì)兩名以上董事簽署

If chairman is also the representative of the office, the application has to be signed by more than two directors

(三) 代表的簡(jiǎn)歷

Resumes of representatives；

(四) 代表護(hù)照或身份證復(fù)印件

The passport or ID card (copy) of the chief representative and representatives;

(五) 由該企業(yè)所在國(guó)的有關(guān)當(dāng)局出具的開(kāi)業(yè)合法證書(shū)（副本）注明有效期

Business license copy;

(六) 將此證書(shū)在當(dāng)?shù)氐闹袊?guó)大使館/領(lǐng)事館公證。

Notarizing this certification at the China Embassy /Consulate in local;

(七) 由同該企業(yè)有往來(lái)的銀行出具的資信證明書(shū)（正本）注明信用評(píng)價(jià)及有效期

Credit certification (original) issued by a foreign bank which has business relations with the enterprise;

(八) 辦公樓租賃合同（原件）

Contract for lease of house (original);

(九) 房屋出租方提供的材料

Documents provided by lessor

包括：

Including：

1)房屋產(chǎn)權(quán)證（復(fù)印件）

Muniment of title (copy)

2)外經(jīng)委批準(zhǔn)涉外辦公的文件(復(fù)印件)

Official document by Shanghai foreign Economic Relation & Trade Commission which permitting the house used by foreign company （copy）

3)租賃備案

Rent contract put on records

4）由物業(yè)出具的駐在證明

The certificate by the building estate management department

(十) 首席代表和代表各需4張2寸照片

Four 2-inch-photos of chief representative and representatives;

(十一) 委托本公司代理辦理的委托書(shū)
